These Terms of Service ("Terms") govern your access to and use of the sales-bot.io platform ("Platform") operated by Blackhole Enterprise FZ-LLC ("we", "us", or "Service Provider").

The Platform is intended exclusively for businesses, sole traders, and other commercial entities ("User" or "Customer") for business purposes. These Terms do not create a consumer contract; consumer protection regulations applicable solely to individuals acting outside a trade or profession do not apply.

2. Formation and Acceptance of the Agreement

The agreement between you and us is formed upon your registration, combined with your acceptance of these Terms and our Privacy Policy. Acceptance of the Terms is a mandatory condition of registration.

You may accept these Terms by:

• ticking the corresponding checkbox during registration;
• activating any paid feature of the Platform;
• paying the subscription fee.

The current version of these Terms is always available at https://sales-bot.io/terms. We will notify you of material changes at least 15 days before they take effect.

3. Description of the Service

We provide a B2B sales automation SaaS solution through the Platform, which includes in particular:

• LinkedIn lead management and automated follow-up sequences;
• AI-powered lead qualification and segmentation;
• integration endpoints (webhook, API);
• analytics and reporting features;
• user workspace and team management (plan-dependent).

We reserve the right to extend, modify, or – with prior notice to Users – discontinue features of the Platform.

4. Subscription Plans and Fees

Access to the Platform is available on a subscription basis. Current plans and pricing are listed at https://sales-bot.io/pricing. Prices are exclusive of VAT where applicable; reverse charge rules apply for EU VAT-registered customers outside the UAE.

Subscription fees are payable monthly or annually, by credit or debit card via the Stripe payment platform. Subscriptions renew automatically at the start of each billing cycle unless cancelled at least 3 business days before the cycle end.

We may modify subscription fees. We will notify you at least 30 days before any price change takes effect. If you do not accept the new pricing, you may cancel your subscription with effect from the date the change takes effect.

5. Payment Terms and Late Payment

You must maintain a valid payment card on file. In the event of a failed charge, we will retry up to 3 times before suspending your account. If the outstanding balance is not settled within 14 days of suspension, we may terminate the agreement with immediate effect.

We issue electronic invoices to the billing e-mail address provided at registration. Fees are due immediately upon invoice issuance.

6. Cancellation and Termination

As this is a B2B agreement, statutory consumer withdrawal rights (as provided under EU Directive 2011/83/EU for consumers) do not apply.

You may cancel your subscription at any time via your account settings. Cancellation takes effect at the end of the current billing cycle; you retain access to the Platform until that date. Partial refunds for unused periods are not provided, except in the case of our material breach of service.

We may terminate the Platform's subscription offering on 30 days' notice. In the event of your material breach of these Terms, we may terminate your account with immediate effect.

7. User Rights and Obligations

You are entitled to use the Platform's features within the limits of your subscription plan and to access and export your data stored on the Platform.

You agree to:

• provide accurate and up-to-date information during registration and billing;
• keep your login credentials secure and protect them from unauthorised access;
• use the Platform solely for lawful purposes, in compliance with applicable law and the terms of third-party platforms (in particular LinkedIn);
• not use the Platform to send spam, harass others, collect personal data without authorisation, or engage in any abusive activity;
• notify us immediately if you become aware of any security breach affecting your account.

8. Our Rights and Obligations

We aim to maintain Platform availability of at least 99.5% on an annual basis. We will provide advance notice of planned maintenance.

We reserve the right to:

• develop, modify, or temporarily restrict the Platform for maintenance purposes;
• suspend or terminate your account if you breach these Terms or applicable law;
• engage third-party service providers (data processors).

We are committed to maintaining the security of the Platform and protecting your data in accordance with our Privacy Policy and applicable data protection law.

9. Intellectual Property

The Platform and all its components – including source code, design, text, logos, and algorithms – are the exclusive intellectual property of Blackhole Enterprise FZ-LLC or are used under licence.

Payment of the subscription fee does not transfer ownership of any part of the Platform. You receive a limited, non-exclusive, non-transferable licence to use the Platform for the duration of your subscription.

You retain ownership of your own data (e.g. CRM data, lead lists). We use your data solely for the purpose of providing the service.

10. Limitation of Liability

To the maximum extent permitted by applicable law, our total liability – excluding cases of wilful misconduct or personal injury – is limited to the subscription fees actually paid by you in the billing cycle in which the claim arises.

We are not liable for:

• business results generated (or not generated) through use of the Platform;
• service disruptions caused by changes to third-party platforms (e.g. LinkedIn, e-mail providers);
• damage resulting from force majeure events (natural disasters, war, cyberattacks);
• data loss caused by your own actions or omissions.

11. Confidentiality

Each party agrees to keep confidential any trade secrets and confidential information disclosed by the other party, and not to disclose such information to third parties except as required by law.

12. Governing Law and Dispute Resolution

These Terms are governed by applicable mandatory EU law (including the GDPR and e-commerce directives) and, supplementarily, by the laws of the jurisdiction of our registered seat.

The parties shall endeavour to resolve any disputes amicably through negotiation. If this is not successful, the parties submit to the exclusive jurisdiction of the competent courts.

For Users based in Hungary, the courts with territorial jurisdiction under Hungarian civil procedure law shall have competence, unless mandatory rules of jurisdiction provide otherwise.

13. Miscellaneous

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision shall be replaced by a valid provision that most closely reflects the parties' original intent.

You may not assign your rights or obligations under these Terms without our prior written consent.

These Terms, together with the Privacy Policy and any individual Order Form, constitute the entire agreement between you and us regarding the Platform.
